Terms of Sale

1. General

These Terms of Sale ("Terms") govern all transactions between DM Trade Solutions LLC ("Company," "we," "us") and the purchaser ("Customer," "you"). By placing an order or making a payment, you agree to these Terms.

2. Products & Services

We provide new and pre-owned laboratory equipment, refurbished instruments, spare parts, and professional services including equipment selection, repair, preventive maintenance, calibration, IQ/OQ/PQ qualification, commissioning, remote technical support, consignment, and laboratory relocation services. All product descriptions are provided in good faith and to the best of our knowledge.

3. Pricing & Payment

• All prices are quoted in US Dollars (USD).
• Payment is accepted via Zelle bank transfer to DM Trade Solutions LLC.
• Payment is due upon receipt of invoice unless otherwise agreed in writing.
• Please reference the invoice number in your Zelle payment memo.
• Prices are subject to change without notice prior to order confirmation.

4. Orders & Confirmation

Orders are confirmed upon receipt of payment. An invoice will be issued for each transaction. The invoice serves as the official record of the sale.

5. Delivery & Pickup

• Shipping: Items may be shipped via USPS, UPS, FedEx, or other carriers. Shipping costs are the responsibility of the Customer unless otherwise agreed. Risk of loss transfers to the Customer upon delivery to the carrier.
• Customer Pickup: Items may be collected in person at our location or a mutually agreed location. Customer assumes responsibility for the goods upon pickup.
• Bench/Depot Repair: Instruments shipped to us for repair will be returned via the same or equivalent carrier. Shipping costs are the responsibility of the Customer.
• Delivery timelines are estimates and not guaranteed unless specified in writing.

6. Condition of Goods

• New equipment is sold with the manufacturer's standard warranty where applicable.
• Refurbished/reconditioned equipment has been tested and verified to OEM specifications. A limited warranty period is stated on the invoice.
• Pre-owned equipment sold without reconditioning is sold "AS-IS" unless a specific warranty is stated on the invoice.
• Spare parts are sold as described; compatibility is the Customer's responsibility to verify.

7. Returns & Refunds

All sales are final unless otherwise agreed in writing prior to the transaction. If a product is materially different from what was described, the Customer must notify us within 7 days of receipt. We will work in good faith to resolve the issue through replacement, repair, or refund.

8. Services

• Service work (repair, PM, calibration, commissioning, remote support) is billed per the agreed scope and rate.
• Preventive maintenance contracts are billed per the terms of the service agreement.
• Travel expenses for on-site work, if applicable, are billed separately.
• Service estimates are non-binding; final charges may vary based on actual work performed.
• We are not liable for pre-existing defects or conditions discovered during service.

9. Consignment

Instruments placed on consignment remain the property of the owner until sold. DM Trade Solutions LLC acts as an agent and receives a commission upon sale as agreed in the consignment agreement. We are not liable for loss or damage to consigned goods beyond reasonable care.

10. Lab Relocation

Lab relocation services are quoted per project. DM Trade Solutions LLC exercises reasonable care in deinstallation, transport, and reinstallation of instruments but is not liable for damage arising from pre-existing conditions, improper site preparation at the destination, or circumstances beyond our reasonable control.

11. Limitation of Liability

To the maximum extent permitted by law, DM Trade Solutions LLC shall not be liable for indirect, incidental, special, or consequential damages arising from the sale or use of any product or service. Our total liability shall not exceed the purchase price of the specific product or service giving rise to the claim.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

13. Amendments

We reserve the right to update these Terms at any time. The version in effect at the time of your order applies to that transaction.
